Deen Cadi CPA, PLLC

Entity decides which structure holds what, and who is exposed.

Almost every owner chose their structure once, early, on limited facts — and has never revisited it since. It is a standing decision about how income is earned and taxed, and it keeps making itself every year whether or not anyone is watching.

⎯ The Four Levels

The structure that was right at two hundred thousand is often wrong at two million.

Entity is not a formality completed at formation. It is four live decisions, and each one compounds quietly in whichever direction it was left.

One

The structure itself, and its election

Sole proprietorship, partnership, S corporation, C corporation — each treats the same profit differently, and the right answer moves as income grows, as partners arrive, and as the law changes. A wrong election does not fail loudly. It quietly costs you every year it stays.

Two

What the owner is paid

Your own compensation drives four numbers at once: payroll tax, the qualified business income deduction, how much the business can put away for your retirement, and how much scrutiny the arrangement invites. Set it arbitrarily low, as many firms still advise, and above certain income levels you shrink a deduction and cap the retirement plan at the same time.

Three

One activity, one entity

Different activities carry different treatment, and mixing them buries the good treatment inside the bad. Real estate sitting inside an operating company is the most common version, and it is expensive in ways that never appear on a single line of the return.

Four

The paperwork that makes it real

Operating agreements signed, current and actually followed. Separate accounts. Minutes and resolutions that exist. A structure that lives only on paper stops existing at exactly the moment someone tests it.

One

What you actually own

Beyond the workplace plan and the brokerage account sits everything most families never see: private equity, private credit, venture, direct real estate, and real assets held as insurance rather than income. The dividing line is not risk. It is time — how long you can afford to have capital committed.

Two

Where you hold it

The accounts are containers. They decide how your returns are taxed; they do not decide what you own. The same portfolio, split differently across taxable, deferred and tax-free accounts, can leave two families with materially different amounts after tax. This is the level almost nobody is walked through.

Three

What you owe against it

Every asset decision is also a liability decision. What you borrowed, at what rate, on what terms, against what collateral — and whether the asset out-earns the loan. Managed together with the ownership side, liabilities accelerate growth. Managed apart, they end it.

Four

What it costs to hold

Fees, turnover, tax drag and the difference between a stated return and a real one. These compound as reliably as returns do, and in the opposite direction.

One figure. Four numbers it moves at once.

← LOWER OWNER'S SALARY HIGHER →
Conceptual illustration only, not a numerical projection of tax or financial outcomes.

There is a defensible range. Most owners are sitting outside it.

Too low invites scrutiny and caps what the business can contribute for you. Too high overpays employment tax every year, permanently.

The right figure is specific to the business, the role, the industry and the year — and it moves. It is also one of the few decisions where the analysis is straightforward, the documentation is standard, and the correction takes effect immediately.

That combination is unusual. Most structural problems take a year to fix and another to show up in the numbers. This one does not.

⎯ In practice

What changes when this pillar is actually managed

Not a new entity for its own sake. The right structure, matched to the income you have now.

The election is tested against today's numbers

Modeled in dollars, not assumed — so you know what the current structure costs or saves against the alternatives available to you.

Your compensation is set by analysis

A defensible figure, documented, revisited each year, with the deduction and the retirement capacity considered together rather than one at a time.

Activities sit where they belong

Property, operations and equipment separated for treatment and for cleaner options later — selling one line, financing one asset, bringing a partner into one place.

The paperwork matches reality

Agreements that are current and followed, accounts that are genuinely separate, and records that support the structure when someone examines it.

⎯ How This Process Works

How the work happens

Three stages, in order. Nobody is asked to commit to the third before the first two have told them whether it is warranted.

01

Stage One · Complimentary

Wealth Resilience Assessment

Forty questions, five for each pillar. Ten minutes. It shows you where the gaps, leaks and risks are across your whole financial picture — whether or not you ever become a client.

02

Stage two · Paid Planning Engagement

Wealth Resilience Blueprint

A written plan built on your facts: what the gaps are costing, what closing them is worth, the order the work should happen in, and who does what.

03

Stage three · by recommendation

Ascend

The ongoing advisory relationship, with tax managed across the whole year rather than reported once. Scope is set by the firm after the Blueprint establishes what the circumstances require — not selected from a menu.

03
STAGE THREE · BY RECOMMENDATION

Ascend

The ongoing advisory relationship, with the structure and the owner's compensation revisited as the business grows — rather than inherited from a decision made years ago.

Before any advisory engagement begins, we tell you in dollars what we expect the work to return. Our benchmark is three times the fee. Where we cannot see that clearly, we recommend a narrower scope, or none.

⎯ Pillar Boundaries

Where entity ends and the other pillars begin

Entity, Protection and Estate reach for the same tools. An LLC can be all three decisions at once, and most owners have only ever asked one of the three questions about the one they have.

ENTITY

Does this change how the income is earned and taxed?

PROTECTION

Does this change what a creditor could actually reach?

ESTATE

Does this change what happens when someone dies?

Entities are formed and agreements drafted by licensed counsel in the relevant state. This pillar is the analysis underneath — which structure, which election, what the owner should be paid, and what each choice is worth in dollars.

Investment

this pillar

What does the capital do, and what does it cost to hold it?

Tax

How much of the return survives, and in which year?

Liquidity

What can be turned into cash, and how quickly?

We do not manage money or sell investment products. This pillar is the structure, the tax position and the coordination around whatever you own and whoever manages it.
